VALIDITY
This Agreement shall be governed by the applicable laws of Lebanon with respect to any dispute between the Parties in connection hereto. The Merchant shall be held responsible for violation of the agreement not offering the suitable services and/or products to PriviLeb's cards holders.
GOVERNING LAW
The Merchant acknowledges that to terminate the Agreement, no less than thirty 30 days' notice must be given in written to PRIVILEB. The Agreement shall be terminated if either party becomes insolvent or shuts down business operations. PRIVILEB will not be obliged to honor any commitments to the Merchant if this Agreement is terminated by the Merchant before the agreed date.
TERMINATION
The Merchant commits to protect and hold harmless "PRIVILEB" from and against any breach or claims, liabilities, actions or demands, including without limitation reasonable legal and accounting fees, arising or resulting from Merchant's breach of any of its obligations under this Agreement, or relating to gross negligence or willful misconduct in engaging in the marketing and promotional activities, and against all third party claims of infringement of intellectual property rights or any other legitimate claims arising from the display or sale of the Products or any part thereof on the Website, without any requirement of proof of damages incurred by PriviLeb. Notwithstanding the foregoing, "PRIVILEAD" shall have the right, in its absolute discretion and at its sole cost, to employ attorneys of its own choice and institute or defend any claim for which PRIVILEAD has a right to be indemnified.
INDEMNIFICATION
PriviLeb makes no warranties, express or implied, including the warranties of merchantability, fitness for a purpose, or non-infringement with respect to its services of the website, or the functionality, performance or results of use thereof.
Neither the Products, the promotions, the Merchant website, nor any data processing in relation thereto shall breach any applicable law, regulation, code of conduct or any third party right.
WARRANTIES
Both Parties shall at all times use all reasonable endeavors to un-disclose any confidential information pertaining to the present Agreement.
CONFIDENTIALITY
The Merchant allows PriviLeb to use under this agreement its trademarks, logos, patents, copyrights, and designs necessary to promote the deals and the business.
The Merchant commits that, in implementing this Agreement, it shall not infringe in any manner whatsoever, any of PriviLeb's intellectual property rights.
INTELLECTUAL PROPERTY
The Merchant commits to send to Privileb, and on daily basis, a report containing all "cards serial numbers" of all PriviLeb card holders visited its premises.
· The Merchant commits to stay engaged towards PriviLeb Card holders and offer them the discounts on Services and/or Products promoted at PriviLeb website and Application, and agreed between both Parties, and this shall be during the whole period of the current agreement.
. PriviLeb enables its card holders to enjoy must-have savings in their day to day purchases through exclusive and unique deals of discounts from most sought after brands in dining, beauty, healthcare, retail, Home appliances, electronics, furniture, entertainment, travel and much more…
· PriviLeb offers uncompromising benefits to the Merchant through its marketing efforts including promotional and communicational activities of deals posted on Privileb's website and application providing the maximum exposure and aiming to bring new customers to the Merchant's place and increase retention and loyalty rate.
